Acceptance and who we are

This website, aribase.com (the "site"), is operated by Aribase LLC ("Aribase", "we", "us"). These terms govern your use of the site, including its forms and, once you have signed in, your account and the catalog. By using the site you agree to these terms. If you do not agree, do not use it.

If you use the site on behalf of a company, you confirm that you have authority to bind that company to these terms. If you and Aribase have signed a written agreement, it controls over these terms wherever the two conflict.

The service and the two license modes

The service is for owners of proprietary company data and for the buyers that license it. If you own data, this is how it works. Aribase licenses proprietary company data to AI labs and model teams. Depending on the asset, we license it from you and license it on to buyers, or we broker a license directly between you and the buyer. You keep ownership and can keep using your data.

Which mode applies depends on the asset and is set out in the written license agreement. A buyer receives defined rights to use the data, such as for AI training and evaluation, and only the rights the agreement grants. Aribase does not purchase data.

Aribase does not promise that any asset will be accepted for assessment, matched with a buyer, or licensed, or that buyer demand exists for any category of data.

Eligibility and accounts

The site is for businesses and professionals. To use it you must be of legal age and able to form a binding contract.

You sign in to an account with a sign-in link or a one-time code sent to your email address. Give accurate information when you open an account and keep it current. You are responsible for activity under your account and for keeping access to your email secure. If you think someone else has used your account, write to hello@aribase.com promptly.

Seller submissions and representations

When you submit an asset or complete a form, you represent that:

• the information you give is accurate and complete to the best of your knowledge;
• you own the asset, or you have the right and the authority to license it; and
• submitting and licensing it does not breach any law, any confidentiality obligation, or any right of a third party, including rights in personal data and intellectual property.

Do not submit data you do not have the right to describe or license. Tell us promptly if anything you told us changes or proves wrong. Aribase may rely on what you submit, and may accept or decline any submission, request, or application at its discretion.

Assessments and estimates

Any assessment, estimate, range, or comment on licensing potential that Aribase gives you, on this site or otherwise, is an indication based on the information available at the time. It is not an offer to license or to pay for anything, it is not a commitment, and it is not a formal valuation for accounting, tax, insurance, or legal purposes.

Licensing potential depends on the quality of the asset, the rights held in it, and current buyer demand. Review by our specialists can move an indication up or down, and the terms of a license are set by the license agreement.

License agreements

Any license of data, and any engagement of Aribase to license or broker data, is governed only by a written agreement signed by both parties. Until that agreement is signed, neither Aribase nor any buyer is bound to license, accept, deliver, or pay for any data, and nothing on this site, in an assessment, or in an introduction is a binding commitment.

Submitting a form alone creates no brokerage, agency, advisory, or fiduciary relationship between you and Aribase. Any brokerage, licensing, or other relationship between you and Aribase arises only under a written agreement signed by both parties.

The written agreement sets out the scope of rights, including any exclusivity, the length of the license, the payment terms, and how the data is delivered. For that transaction, the agreement controls if it differs from these terms.

Fees

Fees, revenue share, and any other payment for a license are set out in the written agreement that governs it. The commercial terms Aribase offers sellers are summarized on the home page, in the answer to How is Aribase paid?, and a signed written agreement controls if it differs.

Confidentiality

Aribase treats asset descriptions and other non-public information that owners submit as confidential business information. We show an asset to a buyer only in anonymized form, and we name the owner only with the owner's consent. We share samples, data room access and prepared material with a buyer only after the buyer accepts a non-disclosure agreement. How we handle personal information is described in our Privacy Policy.

If you receive confidential information through Aribase, you must keep it confidential, use it only to evaluate the licensing opportunity it relates to, and share it only with advisers who need it for that purpose and are bound to keep it confidential. This duty does not cover information that is public through no fault of yours, that you already held lawfully, or that you must disclose by law. A confidentiality agreement you have signed controls over this section.

Buyer obligations

If you use the site as a buyer, you agree to:

• give accurate information about yourself, your company, and your requirements;
• use what you learn about an asset only to decide whether to license it, and keep it confidential as the Confidentiality section requires;
• not try to identify the owner of an anonymized asset, except through Aribase and with the owner's consent; and
• use any data, sample, or description shared with you only as a written license agreement allows.

Acceptable use

You agree not to:

• scrape, copy, or harvest the site or its catalog by automated means;
• send spam, or submit false, misleading, unlawful, or infringing material;
• probe, test, or interfere with the site, its security, or other users' access to it;
• use another person's account, or impersonate a person or company; or
• use the site in breach of any law or of these terms.

Intellectual property

The site's content, design, and marks belong to Aribase LLC or its licensors. We give you a limited, revocable right to use the site for its intended purpose, and no other right in it.

You keep ownership of everything you submit. By submitting it you allow Aribase to use it to review your asset, to prepare anonymized descriptions, and to present the asset to prospective buyers as these terms and the Privacy Policy describe. A license of the data itself is granted only by a written agreement.

Third-party links

The site may link to websites and services that Aribase does not control. A link is not an endorsement. Aribase is not responsible for the content, practices, or availability of a third-party site, and your use of it is subject to its own terms.

Disclaimers

To the maximum extent permitted by law, the site and everything on it are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Aribase does not warrant that the site will be uninterrupted or free of errors, that any asset will be licensed, or that any price or range will be achieved.

Content on the site, including Insights articles, is general information. It is not legal, tax, financial, or investment advice.

Limitation of liability

To the maximum extent permitted by law, Aribase LLC and its members, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the site or these terms, even if told that such damages were possible. Aribase's total liability arising from use of the site is limited to the maximum extent permitted by law.

Liability under a written license agreement is governed by that agreement. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnity

You will defend, indemnify, and hold harmless Aribase LLC and its members, officers, employees, and agents against any claim, loss, liability, damage, or expense, including reasonable attorneys' fees, arising out of your breach of these terms, your misuse of the site, your violation of any law or third-party right, or information or data you submit, including any claim that you lacked the right or the authority to license it.

Suspension and termination

Aribase may suspend or end your access to the site or your account at any time, with or without notice, including if we believe you have breached these terms or the law, or put the site or other users at risk. We may also decline or stop reviewing any submission. You may stop using the site at any time, and you may ask us to close your account by writing to hello@aribase.com.

Suspension or termination does not affect a written agreement signed by both parties, which ends only as it says. Sections that by their nature should continue, including confidentiality, representations, intellectual property, disclaimers, limitation of liability, indemnity, and governing law, continue after your access ends.

Governing law and venue

These terms, and any dispute arising out of or relating to them or to the site, are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any such dispute will be brought in and heard by the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. A written agreement signed by both parties may state its own governing law and venue, and then applies to that agreement.

Changes to these terms

We may update these terms from time to time. The updated terms take effect when we post them on this page, and the date at the top shows the latest revision. By using the site after an update takes effect, you accept the updated terms. An update does not change a written agreement that is already signed.
